References in these Terms & Conditions to "Forestio", "we", "our", "us", or "provider", are to Forestio, and references to "user", "client", "you", "your", or "subscriber" are to the person who signs up to use the Forestio services.
Prior to making the User Account Login to the Forestio platform available to you, we ask you to agree to these Terms & Conditions, Risk Disclosure Statement, and to the Privacy Policy by clicking “I agree” on our website.
By agreeing, you confirm that you have read, understood, and accepted the respective terms. Forestio and you are deemed to have entered into an agreement, and the Terms become effective, from the moment Forestio grants you access to the services.
If you do not agree to the Terms & Conditions, it would be unlawful for you to use the services of Forestio, you should not provide your consent, and you are not entitled to use our services.
Forestio reserves the right to add new terms or amend the present Terms & Conditions at its sole discretion. In the case of significant changes, we will notify you via email before making them effective by publishing them on our website at www.forestio.ai (the 'Website'). While we ensure to inform you of major updates, we still recommend that you regularly review the Website for any changes. Should there be any discrepancies between different versions of the Terms & Conditions, the most recent version published on the Website will take precedence.
1. General

1.1 The services under these Terms & Conditions are provided by Generation Forest s.r.o. (Forestio.ai), a company established and existing under the laws of the Czech Republic with its principal office located at Platnéřská 88/9, Staré Město, 110 00 Praha, CZ.

1.2 Our primary objective is to establish a comprehensive system integrating technological, scientific, and financial tools. This system aims to support environmental conservation efforts worldwide, focusing on enhancing ecosystem services like carbon sequestration and preserving ecosystem integrity, including biodiversity. For more details, please refer to the information provided on our website.

1.3 We specialize in utilizing artificial intelligence solutions and satellite imagery to assess the environmental impact of nature-focused initiatives. These initiatives encompass activities that protect, manage, or restore natural ecosystems, addressing critical societal concerns such as climate change, human health, food and water security, and disaster risk reduction. Our approach prioritizes delivering both human well-being and biodiversity benefits in an effective and adaptable manner.

1.4 As an early-stage company pioneering a unique business model, Forestio acknowledges the inherent risks associated with our approach and operations. We understand the importance of transparency in this developmental phase and strongly encourage our users to review not only this document but also our comprehensive Risk Disclosure Statement. The Risk Disclosure Statement provides a detailed overview of potential risks and should be considered an integral part of understanding our platform and services. Users can access this statement and other relevant information through our website and platform. Please note that while we strive to provide thorough insights into potential risks, this document may not cover every conceivable risk associated with our early-stage operations.

Information on the website

1.5 The information contained on the Forestio.ai website has been obtained from sources that Forestio assumed to be reliable. To the extent permitted by law, Forestio gives no warranties or guarantees and makes no representations as to the accuracy, completeness, currency, reliability, or adequacy of the information displayed on the website. You should independently satisfy yourself as to the information displayed on our website and agree to use it at your sole risk and on an "as is" basis.

2. User Registration and User Account

2.1 To use Forestio's services, a person must become a User and open and maintain a User Account.

User registration

2.2 In registering for the User Account, you confirm that:

  • you, as a private individual, are at least 18 years old;
  • you, as a private individual, legal person, or other organization, have full legal capacity and are fully authorized to enter into an agreement with us;
  • your use of Forestio's services will not violate any agreements, obligations, laws, or regulations applicable to you.

2.3 We may ask you to identify yourself and provide evidence of the information provided regarding yourself and your activities. In order to verify the information you have provided, we have the right to make inquiries to public or private registries or to other sources or to engage third-party service providers and share your information with them.

2.4 You confirm that the information you provided us during the registration and later during our relationship is true, accurate, and complete. You undertake to update the information you have provided us with during the User Account opening process whenever there is a change in such information.

2.5 It is Forestio's discretionary decision to register you as a User or refuse registration. We inform you of our decision through the website or via email.

User Account

2.6 The User Account and Forestio's services can be used only by a User. Each User opens an individual User Account.

2.7 You agree to use the User Account and Forestio's services in good faith and in accordance with these terms and in compliance with applicable laws and regulations.

You must not use the User Account:

  • for the purposes of, or in connection with, laundering money, financing terrorism or weapons proliferation, environmental crime, fraud, corruption, bribery, cyber-crime, or other illegal activities;
  • in a way that adversely interferes with or attempts to interfere with the normal operations, and/or activities of the services or the legitimate interests of others, or to introduce a software virus or other disruptive program or do any other acts which would disrupt the orderly functioning of the services.

2.8 We may suspend access to the User Account if we suspect or become aware of any unauthorized use of the User Account or if you inform us of such use.

2.9 Our services may be temporarily inaccessible due to technical reasons while we deploy new functions or revise the existing ones.

Communication

2.11 In communicating with you, we will send you a message through your User Account or use the email address or telephone number you have provided to us. You undertake to keep your contact details up-to-date. You can contact us either by sending us a message through the User Account or by sending an email to info@forest.io.

2.12 The language of our communication and services is English. When using the Platform, you should be able to understand and communicate in English, incl. providing information and documents in English or translated into English, at our request. Although we would like to, we will not be able to support our service in all languages.

Account Security

2.13 We are committed to maintaining the security of the services. However, your individual actions may pose risks. You agree to keep your User Account access credentials (such as username and password) confidential, and not to disclose such information to any third party. You also agree to be solely responsible for taking the necessary security measures to protect your User Account and personal information.

2.14 When you create a User Account, you agree to:

  • create a strong password that you do not use for any other website or online service;
  • maintain the security of your User Account by protecting your password and restricting unauthorized access to, or use of, your User Account; and
  • promptly notify us if you discover or otherwise suspect any security breaches related to your User Account, incl. unauthorized access or use.

2.15 You acknowledge that all instructions provided via the User Account will be treated as having been provided by you, and you will bear all responsibilities arising from these instructions. If another person has provided instructions for Forestio's services via your User Account, you will solely be liable for any damages to yourself, to Forestio, or to other Users as a result of any unauthorized access.

3. Supported Area (Forest Fragments)

3.1 Forestio (or the Provider) hereby grants the user (the Subscriber) access to and usage of the specific rainforest land, including the description of the Rainforest Lands with specific boundaries, coordinates, or any other identifying information. This information serves the purpose of protection, conservation, and sustainable use, in accordance with all applicable laws and regulations.

4. Digital Ownership and Subscription or One-Time Payment Model

4.1 The user, through the subscription or one-time payment model, is granted digital ownership of the specified forest land outlined in Section 3. This digital ownership provides the user with rights to monitor and protect/reforest the Supported Area for the agreed-upon purpose.

4.2 The user shall have access to a digital platform provided by the Provider, which includes a variety of analytical tools to enhance their understanding of the Supported Area, including estimates of carbon dioxide (CO2) sequestration.

4.3 Quarterly reports, including analyzed satellite imagery and estimates of CO2 saved from protecting/reforesting the Supported Area, shall be provided to the user by the Provider. These reports aim to transparently communicate the environmental impact of the user's efforts in rainforest conservation/reforestation. Please note that while we strive for accuracy in our models and calculations, the dynamic and complex nature of natural ecosystems may lead to some degree of imprecision in our estimates. Therefore, the figures presented in these reports should be considered approximations and not absolute values.

4.4 By purchasing our services, the user agrees to implement and uphold environmentally friendly and sustainable practices within the Supported Area, with the goals of preserving biodiversity, enhancing ecosystem resilience, and promoting sustainable reforestation practices.

4.5 The subscription is for a duration of one month and operates on a recurring payment model for protection projects. The subscription will automatically renew each month until the user decides to cancel it through the Forestio platform. Users can cancel their subscription at any time. For assistance, please contact our support team at info@forest.io.

4.6 The user is not eligible to request a refund once they complete their subscription purchase and gain access to the tools and features provided by Forestio. However, the user can cancel the subscription at any time, which will prevent charges for the following month.

4.7 The one-time payment applies to reforestation projects, granting the user access to the platform and all its features. Once this payment is completed, the user waives their right to request a refund.

5. Digital Forest and CO2 Credits

5.1 Digital forests are NFTs (non-fungible tokens) and are directly linked to a specific plot of land after being minted once a subscriber chooses an area for protection or reforestation. These NFTs give users the right to protect or reforest the Supported Area, and consequently generate CO2 Credits (fungible tokens). The land is provided to Forestio by regional partners who have all the necessary documentation and operate legally in their countries with the required permissions.

5.2 As a user's Supported Area begins absorbing CO2 from the atmosphere, CO2 Credits are generated and credited to the user's account once their land has sequestered a sufficient amount of CO2. One CO2 Credit is equivalent to 1 kg of sequestered CO2.

5.3 CO2 Credits are not directly linked to a specific Supported Area after being minted. CO2 Credits are fungible instruments, i.e. interchangeable among themselves.

CO2 Credits and user accounts are operated on the public blockchain network Polygon which is an open-source software project. Forestio does not own or control any blockchain protocols and software and assumes no responsibility for the operation of the underlying protocols. There is no guarantee regarding the functionality, security, legality, or availability of the underlying protocols.

5.5 Should there be any changes to the blockchain protocols we use or if we reasonably deem necessary for other technical reasons, we have the right to amend, suspend, or terminate the affected services, incl. the right to re-configure, re-deploy or replace the technical solution or parameters forming or underlying Forestio token or the Token Wallet (without materially affecting the value and content of these to the extent under our control).

6. The Platform and Services

6.1 Forestio is developing a versatile platform to enhance user interaction with nature. The platform primarily serves two key purposes: land monitoring for users and CO2 Credit management.

6.2 The platform provides users with comprehensive information about their Supported Area including details such as carbon sequestration rate, forest cover, and NDVI index, with more features coming in the future. This information is complemented by an array of analytical tools and environmental alerts in the event of potential natural threats.

6.3 The platform showcases the quantity of CO2 sequestered by the user's supported area generating a corresponding number of CO2 Credits. These Credits are securely stored in an account automatically managed by Forestio, ensuring customer security and convenience.

The User's Account

6.4 Each user is allocated an account to collect CO2 Credits generated through carbon sequestration within their forest fragment(s).

6.5 CO2 Credits can be directly used to remove carbon footprint, with each Credit representing 100kg of CO2. Each quarter, the user receives a summary of the amount of CO2 compensated.

6.6 CO2 Credits will remain securely stored and accessible to the user, even after their involvement in Forestio projects has ended.

6.7 By setting up an account and participating in any of Forestio's projects, the user agrees that their digital ownership of forest fragments is public by default. If the user wishes to change this setting, they can do so in their profile on the platform.

Fees

6.8 At present, Forestio does not charge any service fees either to subscribers accessing and utilizing our services or to buyers for the acquisition of tokens. However, it's important to note that this fee policy is subject to future changes. We assure our users that any changes to our fee structure will be communicated with full transparency and ample notice, ensuring fairness and consideration for all parties involved.

7. Replacements of Damaged Land

7.1 Currently, Forestio cannot guarantee that the advertised projects will remain completely unaffected, as many factors are beyond the company's control. While our partners implement various safety measures, such as patrolling the area and conducting occasional visits, environmental events or illegal activities may still occur and potentially damage parts of the supported area. Consequently, Forestio will not be held liable for any damages or losses incurred due to these unforeseen circumstances.

8. Payment Processing

8.1 In connection with your use of the Forestio Services, you may engage in payment transactions or other services offered by Forestio.

8.2 We utilize a third-party payment processor (the “Payment Processor”) to manage billing for any payments due in relation to the Forestio Services. The processing of these payments will adhere to the terms, conditions, and privacy policies of the Payment Processor, in addition to these Terms & Conditions. Please note that Forestio is not liable for any errors or issues that may arise from the Payment Processor's actions. By conducting a purchase through our Services, you agree to fulfill payment through the Payment Processor, in accordance with the listed charges and applicable payment terms at the time of your purchase. You authorize us, via the Payment Processor, to charge your chosen payment method.

8.3 While we currently use a specific Payment Processor, we reserve the right to change or add different payment processors at our discretion. The current Payment Processor as of the date of these Terms & Conditions is Stripe.

8.4 You commit to providing accurate, complete, and up-to-date purchase and account information for all transactions made in connection with the Forestio Services. This includes promptly updating your account and payment information, such as email address, payment method, and payment card expiration date, with the Payment Processor. We may add sales tax to the price of purchases as deemed necessary. Please be aware that all payments are to be made in U.S. dollars.

8.5 You acknowledge that we retain the right to correct any errors or mistakes in pricing, even if a payment request has already been made. Furthermore, we reserve the right to refuse any order placed through the Forestio Services.

9. Amendments to the Terms & Conditions

9.1 Forestio is a start-up company, and we continuously develop and enhance the Platform. Moreover, the regulatory environment for virtual assets and virtual asset service providers and expectations by the supervisory authorities are changing. We therefore reserve ourselves the discretion to amend, limit access to, or terminate any of the functionalities and services on the Platform.

9.2 Forestio may need to adjust the Agreement as the services evolve. Therefore, Forestio reserves the right to unilaterally amend these documents.

9.3 If there are any amendments to the Agreement, these will be communicated (as described in Communications) at least 2 weeks prior to the new/amended Terms becoming effective. If you disagree with the amendments, you will have the right not to accept the amendments and discontinue using all or the affected parts of Forestio's services. In such case, the Agreement as a whole or the respective part will terminate. If you do not inform us of your unacceptance within the 2 week period, you are deemed to have agreed to the amendments.

10. No Warranty

10.1 The service is provided on an "as is" and "as available" basis. Use of the service is at your own risk. To the maximum extent permitted by applicable law, the service is provided without warranties of any kind, whether express or implied, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, or non-infringement. No advice or information, whether oral or written, obtained by you from the company or through the service will create any warranty not expressly stated herein. Without limiting the foregoing, the company, its subsidiaries, its affiliates, and its licensors do not warrant that the content is accurate, reliable, or correct; that the service will meet your requirements; that the service will be available at any particular time or location, uninterrupted or secure; that any defects or errors will be corrected; or that the service is free of viruses or other harmful components. Any content downloaded or otherwise obtained through the use of the service is downloaded at your own risk, and you will be solely responsible for any damage to your computer system or mobile device or loss of data that results from such download or your use of the service.

10.2 Company does not warrant, endorse, guarantee, or assume responsibility for any product or service advertised or offered by a third party through the company service or any hyperlinked website or service, and company will not be a party to or in any way monitor any transaction between you and third-party providers of products or services.

10.3 Certain EU Member States and jurisdictions do not allow the exclusion or limitation of specific implied warranties; therefore, the above exclusions may not apply to you. This agreement provides you with particular legal rights, and you may also have additional rights under the laws of your jurisdiction. The disclaimers and exclusions in this agreement will not apply to the extent they are prohibited by applicable law.

11. Limitations of Liability

11.1 To the maximum extent permitted by applicable law, in no event shall the company, its affiliates, agents, directors, employees, suppliers, or licensors be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data or other intangible losses, arising out of or relating to the use of, or inability to use, this service. Under no circumstances will the company be responsible for any damage, loss, or injury resulting from hacking, tampering, or other unauthorized access or use of the service or your account, or the information contained therein.

11.2 To the maximum extent permitted by applicable law, the company assumes no liability or responsibility for any (i) errors, mistakes, or inaccuracies of content; (ii) personal injury or property damage, of any nature whatsoever, resulting from your access to or use of our service; (iii) any unauthorized access to or use of our secure servers and/or any and all personal information stored therein; (iv) any interruption or cessation of transmission to or from the service; (v) any bugs, viruses, trojan horses, or the like that may be transmitted to or through our service by any third party; (vi) any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the service; and/or (vii) user content or the defamatory, offensive, or illegal conduct of any third party. In no event shall the company, its affiliates, agents, directors, employees, suppliers, or licensors be liable to you for any claims, proceedings, liabilities, obligations, damages, losses, or costs in an amount exceeding the amount you paid to the company hereunder or $100.00, whichever is greater.

11.3 This limitation of liability section applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if the company has been advised of the possibility of such damage. The foregoing limitation of liability shall apply to the fullest extent permitted by law in the applicable jurisdiction.

11.4 Certain EU Member States and jurisdictions do not permit the exclusion or limitation of incidental or consequential damages; therefore, the above limitations or exclusions may not apply to you. This agreement grants you specific legal rights, and you may also have additional rights under the laws of your jurisdiction. The disclaimers, exclusions, and limitations of liability within this agreement will not apply to the extent they are restricted by applicable law.

11.5 The Service is controlled and operated from facilities in the Czech Republic. The company makes no representation that the Service is suitable or available for use in other locations. Those who access or use the Service from outside the Czech Republic do so at their own discretion and are solely responsible for complying with all applicable Czech and local laws and regulations, including export and import regulations.

12. Indemnity

12.1 By using the services of Forestio, you agree to defend, indemnify, and hold harmless Forestio, its subsidiaries, affiliates, officers, agents, partners, and employees, from any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, that may arise from your actions. This includes:

  • Your interactions and contributions on the platform.
  • Your use of Forestio services.
  • Any breach of the Terms & Conditions you agreed to upon using our services.
  • Any false or inaccurate representations and warranties you provide.
  • Any violation of third-party rights, including intellectual property rights.
  • Any harmful acts toward other users of Forestio.
  • Forestio reserves the right, at your expense, to take over the defense and control of any matter for which you are obligated to indemnify us. You are expected to cooperate with us in defending such claims. Forestio will make reasonable efforts to inform you of any such claim, action, or proceeding upon becoming aware of it.
13. Release

13.1 By using Forestio's services to the fullest extent allowed by applicable law, you release Forestio and its affiliated parties, including subsidiaries, affiliates, officers, agents, partners, and employees, from all responsibility, liability, claims, demands, and damages (both actual and consequential) of any kind, whether known or unknown, including but not limited to negligence claims. This release covers issues arising from disputes between users and any actions or omissions of third parties related to the use of Forestio's services.

13.2 You explicitly waive any rights that might limit the scope of this release to only those issues that you are currently aware of or suspect at the time of agreeing to this release. This waiver applies even to rights under laws or legal principles that would otherwise restrict this release to known issues. By agreeing to these terms, you acknowledge and accept this broad release of liability and waive any potential future claims against Forestio and the indemnified parties related to the services provided.

14. Data Protection and Confidentiality

14.1 We manage all and any personal information that we collect through the Website, incl. the Platform, in accordance with our Privacy Policy.

14.2 In order to provide you with services, we may process personal data about you as an individual. If you represent a legal entity, we may also collect personal data that you have or will provide to us concerning your employees, other associates, or other individuals. You confirm that your disclosure of any personal data relating to individuals other than yourself was or will be made in accordance with all applicable data protection and data privacy laws, and those data are accurate, up to date, and relevant when disclosed.

14.3 We acknowledge that certain information regarding you or your land or other information shared with us during the registration or business relationship is not personal information but can still be regarded as confidential. We agree to keep your information strictly confidential and use it solely for the purposes of operating the Platform and providing the services to you. You agree that we may disclose this information to third parties when we have a valid reason for it. When sharing your confidential information with third parties, we agree to impose the same level of protection as to your personal information and only allow your confidential information to be accessed by those who require access to perform their tasks and duties, and to share only with third parties who have a legitimate purpose for accessing it. 15. Intellectual Property

15.1 Unless otherwise indicated by us, all copyright and other intellectual property rights in all content and other materials provided in connection with the services, including, but not limited to trademarks, trade names, logos, design, graphics, photos, unique technical and scientific solutions or inventions, and any rights attached to such intellectual property, and the intellectual property rights of software compilation, associated source code and software, are and remain the property of Forestio.

16. Linking External Accounts

16.1 For enhanced functionality on the Forestio.ai platform, users have the option to link their Forestio account with external accounts managed by third-party service providers (referred to as “External Accounts”). This can be done in two ways: (1) by entering your External Account login details on the Forestio platform, or (2) by authorizing Forestio to access your External Account in accordance with the terms and conditions of that External Account.

When you choose to link an External Account, you affirm that you have the right to disclose your login information to Forestio and/or permit Forestio to access your External Account. This action should not breach any terms of the External Account or obligate Forestio to any fees or usage limitations set by the External Account's service provider. By linking an External Account, you understand that Forestio may (1) access, make available, and potentially store any content from your External Account to enhance your experience on the Forestio platform, and (2) receive and transmit additional information as notified during the linking process. The content shared and available through your Forestio account will depend on your chosen External Accounts and the privacy settings you've configured with them.

16.2 Please be aware that if an External Account becomes inaccessible or if our access is terminated by the service provider, the associated content on the Forestio platform may also become unavailable. You have the right to disconnect your Forestio account from any External Accounts at any time. To do this, you can either contact us directly or adjust your account settings accordingly. Forestio will make efforts to remove any data obtained from External Accounts from our servers, except for basic information like your username and profile picture associated with your Forestio account.

16.3 Note: Your interactions with third-party service providers through your External Accounts are governed by your agreements with these service providers. Forestio does not review content from External Accounts for accuracy, legality, or non-infringement and is not responsible for such content. You also acknowledge that Forestio may access your email address book or contact list from these External Accounts for the purpose of identifying and notifying you about contacts who are also using the Forestio platform.

17. External Websites and Content

17.1 The Forestio.ai platform may include or direct you to links to other websites ("External Websites"), as well as host articles, photos, text, graphics, music, videos, information, software, and other content originating from third parties ("External Content"). Forestio does not extensively review External Websites or External Content for their accuracy, relevance, or completeness. We are not responsible for the content, accuracy, offensiveness, views, reliability, privacy policies, or other practices of any External Websites or the information contained in External Content. Featuring or allowing links to External Websites or External Content does not imply our endorsement of them.

17.2 If you choose to leave the Forestio platform to access External Websites or use/install External Content, you do so at your own risk, and our Terms of Use will no longer apply to your activities. We encourage you to review the specific terms, conditions, and privacy policies of any External Websites you access or External Content you use or install. Forestio is not involved in purchases you make through External Websites, which are solely between you and the third party. You acknowledge that Forestio does not endorse any products or services offered on External Websites, and you agree to hold us harmless from any damage or loss you may suffer as a result of purchasing such products or services. Furthermore, you agree to release Forestio from any liability related to External Content or any interactions with External Websites.

18. Term and Termination

18.1 Forestio has the right to terminate the Agreement without giving any prior notice if any of the following occurs:

  • you have materially breached the terms and conditions of the Agreement
  • you or a person related to you (e.g. your board member or an ultimate beneficial owner) launder money, finance terrorism, or do other illegal transactions, or we have a suspicion that you or a person related to you carry out such activities
  • the information you have provided to us is inaccurate or incomplete in material aspects
  • When requested, you do not provide the information required for the purpose of KYC or adequate due diligence measures in accordance with applicable laws
  • your activity or inactivity as a User causes material or immaterial damages to us or to other Users, or there is an actual threat that such damages would occur
  • We are instructed to terminate the Agreement by a court order or an instruction by a competent public authority

18.2 Please note that due to reasons described elsewhere in these Terms (for example, related to business choices or regulatory reasons) we may determine to discontinue our services, in full or partly, which may mean that we will also terminate our business relationship, in full or partly, with you.

18.3 We have the right to immediately suspend your access to the User Account, incl. the wallet you have, or freeze the Forestio tokens or any other funds for the same reasons as set out in the previous clause. We shall not be liable for any damages or inconveniences such suspension would cause you.

18.4 In the event that the entire Agreement with you is terminated, unless otherwise agreed upon:

  1. CO2 Credit and Service Suspension We will cease the generation of CO2 credits if you are involved in any Forestio projects.
  2. Account Closure: Your user Account will be deactivated, and access to your account and any CO2 Credits will be revoked.
  3. Data Retention: Following the closure of your User Account, Forestio will adhere to the terms of our Privacy Policy and applicable laws and regulations concerning the retention and processing of any information related to the closed account.

18.5 If the termination applies only to specific aspects of our service as outlined in Special Terms, appropriate actions will be taken to restrict your access to the affected services.

19. Complaints, Dispute Resolution, Governing Law
19.1 Governing Law

These Terms & Conditions and all non-contractual obligations arising from or connected with them, as well as the use of Forestio's services, are governed by and construed in accordance with the laws of the Czech Republic. If you are a consumer, you may also have the protection of mandatory provisions of law applicable in your country of residence.

19.2 Complaints Procedure

If you have any concerns or issues with our services, please reach out to our support team at info@forest.io with your name, account details, the date of the issue, and a detailed description. We aim to address and resolve complaints promptly.

19.3 Handling of Complaints

We will acknowledge your complaint via email and, if necessary, request additional information. Our goal is to resolve your complaint efficiently and provide a final response within 15 working days of receipt.

19.4 Alternative Dispute Resolution

If you are dissatisfied with our final response or disagree with the proposed solution, disputes will be resolved through arbitration at the Czech Arbitration Court (Rozhodčí soud při Hospodářské komoře České republiky a Agrární komoře České republiky). The arbitration process will follow the rules of this court, with an arbitrator mutually agreed upon by both parties. Arbitration is designed to provide a fair and efficient resolution, and the decision rendered by the arbitrator will be final and binding. By agreeing to these Terms & Conditions, you waive your right to bring covered disputes to court.

19.5 Class Action/Jury Trial Waiver

This waiver applies to all persons and entities, irrespective of whether they have utilized the service for personal, commercial, or any other purposes. All claims must be presented in the individual capacity of the parties, and not as a plaintiff or class member in any proposed class action, collective action, private attorney general action, or other representative proceeding. This waiver extends to class arbitration, and, unless mutually agreed upon otherwise, the arbitrator is not permitted to consolidate more than one person's claims. By entering into this agreement, both you and the company are agreeing to waive the right to a trial by jury or to engage in a class action, collective action, private attorney general action, or any other type of representative proceeding.

19.6 Dispute Resolution Process

For any disputes arising from or connected to these Terms & Conditions, including any Special Terms, we encourage initial resolution through negotiation. If negotiation is unsuccessful, the dispute will proceed to arbitration at the Czech Arbitration Court as outlined in Section 19.4. The arbitrator's decision will be final and binding. Although this generally precludes court litigation, if local laws grant you the right to pursue legal action, you may do so either in the Czech Republic or your country of residence, in accordance with applicable laws and jurisdictional limits.

20. Other Matters
20.1 Tax Obligations

It is your responsibility to determine any taxes that apply to transactions conducted through the Forestio.ai Platform. You must withhold, collect, report, and remit the correct taxes to the appropriate tax authorities as required by law. Forestio is not responsible for determining the tax implications of any transactions on the platform.

20.2 Assignment and Transfer

Forestio reserves the right to assign its rights under these Terms & Conditions or transfer the agreement, or any parts of it, to a third party or to an entity within the same corporate group as Forestio, without requiring your separate consent. However, you are not permitted to assign or transfer any of your rights or obligations under these agreements without prior written approval from Forestio.

20.3 Severability

Should any part of these Terms & Conditions be deemed invalid or unenforceable, that part will be enforced to the maximum extent permissible so as to maintain the intent of the agreement, and such invalidity or unenforceability will not affect the remaining parts, which will continue in full force and effect. The invalid or unenforceable provision will be amended or replaced with a valid, enforceable provision that best matches the original intent.
